By accessing or using SalesSpaice ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

SalesSpaice is an AI-powered customer relationship management (CRM) platform designed for B2B sales teams. The Service includes features such as contact management, pipeline tracking, AI chat assistance, document management, research automation, and meeting transcript analysis.

3. Eligibility

You must be at least 16 years old to use this Service. By using SalesSpaice, you represent and warrant that you meet this age requirement and have the authority to enter into these Terms.

4. Account Registration

To use SalesSpaice, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Scrape, harvest, or collect data without permission
• Resell or redistribute the Service without authorization

6. Your Content

You retain all ownership rights to the data, content, and information you upload to SalesSpaice ("Your Content").

6.2 License to Us

By uploading Your Content, you grant us a limited license to store, process, and display it solely for the purpose of providing the Service. This includes using AI services to generate insights and recommendations based on Your Content.

6.3 Responsibility

You are solely responsible for Your Content and any consequences of uploading or sharing it. You represent that you have all necessary rights and permissions for any content you provide.

7. AI-Generated Content

SalesSpaice uses artificial intelligence to generate insights, summaries, and recommendations. While we strive for accuracy:

• AI-generated content may contain errors or inaccuracies
• You should verify critical information before relying on it
• We are not liable for decisions made based on AI outputs

8. Payment and Subscription

8.1 Fees

Some features of SalesSpaice require a paid subscription. Contact us for pricing information.

8.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on each billing cycle.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

9. Intellectual Property

SalesSpaice and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

10. Third-Party Services

The Service may integrate with third-party services (e.g., Google, Slack, OpenAI). These integrations are subject to the terms and privacy policies of those third parties. We are not responsible for third-party services.

11. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy. We implement reasonable security measures but cannot guarantee absolute security.

12. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We may:

• Perform maintenance or updates with or without notice
• Modify or discontinue features
• Suspend access in case of security concerns

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct. Upon termination, your right to use the Service ceases immediately.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

18. Governing Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Bonn, Germany.
